TT&A advised MAIF 4 Investments India 2 Pte Ltd (a company part of a fund managed by Macquarie Asset Management, i.e., the asset management arm of Macquarie Group Limited) (“MAIF”) in its investments in Maple Infrastructure Trust (a SEBI registered InvIT) (“MIT”), Maple Infra InvIT Investment Manager Private Limited (“IM”) and Maple Highway Project Management Private Limited (“PM”) (MIT, IM and PM collectively the “Maple Entities”).
Investment by MAIF into the Maple Entities by way of purchase of: (a) 63,504,799 equity shares constituting 42.50% of the equity share capital of the IM from Maple Highways Pte Ltd (the sponsor entity of MIT) (“Maple Highways”), (b) 78,000 equity shares constituting 40% of the equity share capital of the PM from Maple Highways, and (c) 177,289,950 units constituting 37.5% of the total unitholding of MIT from CDPQ Infrastructures Asia III Inc. (a sponsor group entity of MIT) (“CDPQ Asia”).
TT&A’s competition law team advised and acted on behalf of MAIF before the Competition Commission of India in obtaining an unconditional approval for the Proposed Transaction, within a short timeframe.
The deal will result in two of the largest foreign infrastructure investors to combine and collaborate their future investments in India’s growing road infrastructure market.
