TT&A advised Applied Research International Private Limited (“ARIPL”) and ARI Labs Private Limited (“ALPL”), along with their promoter (Mr. Shravan Rewari) and other sellers in relation to the sale of their 100% shareholding in ARIPL and ALPL, to Zen Technologies Limited (“Zen”), a public listed company in India. Zen will acquire ARIPL in two tranches in accordance with the terms of the definitive documents executed in this regard, and the total consideration payable by Zen for the sale of 100% shareholding of ARIPL and ALPL is INR 130 crores. 

This deal will strengthen the position of Zen in pioneering advanced defense training solutions and will cement its position in as a leader in defense simulation. It will further drive innovation in military training by leveraging AI-powered analytics, immersive technology, and real-time performance assessments and will broaden Zen’s capabilities beyond land-based training, advancing its expertise in naval and maritime simulations to enhance combat preparedness for the Indian Armed Forces and global defense forces. 

ARIPL specializes in simulation and assessment tools for the marine, offshore, naval, ports & terminals, construction, and mining industries, along with e-governance solutions for the Directorate General of Shipping in India.
